These Terms of Service (“Terms”) are a binding agreement between you and Wordmuse Labs LLC, a Wyoming limited liability company (“Wordmuse,” “we,” “us,” or “our”), governing your access to and use of the Wordmuse website, application, and related services (the “Service”). Please read them carefully. They include an agreement to resolve disputes by binding individual arbitration and a waiver of class actions (Section 13), which you can opt out of within 30 days.

1. Acceptance of These Terms

By creating an account, checking an acceptance box, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy, each incorporated by reference. If you do not agree, do not use the Service.

If you are under the age of majority in your state of residence, a parent or legal guardian must review and accept these Terms on your behalf, in the manner described in Section 2, before you may use the Service. Whenever these documents are updated, we will ask you (or your guardian, where applicable) to accept the updated version before you continue using the Service.

2. Eligibility; Minors; Guardian Acceptance

2.1 Age and Region

These Terms apply to individuals located in and using the Service from the United States. The Service is offered only in select regions and is not directed to or available in other regions; eligibility is confirmed when you sign up. In the United States, you must be at least 13 years old to use the Service. This is the minimum age at which a user may provide data-privacy consent for themselves; it does not, by itself, make a minor able to enter a binding contract (see Section 2.3).

2.2 Regional Restriction

The Service is not directed to, and may not be accessed from, any region where it is not offered. We use geographic verification to restrict access. Attempting to circumvent that restriction — for example, through a VPN or by providing false location information — is a violation of these Terms.

2.3 Contract Acceptance by Minors

Meeting the minimum age in Section 2.1 permits certain data-processing consents but does not make a minor capable of entering a binding contract. If you are under 18 (the age of majority in the United States), your parent or legal guardian must accept these Terms on your behalf, using our guardian-consent process, before you may use the Service. Where these Terms create obligations that a minor cannot legally be bound by, those obligations apply to the guardian who accepted these Terms, to the extent permitted by law.

2.4 One Account; Accurate Information

You may maintain only one account, must provide accurate registration information, and are responsible for keeping your login credentials confidential and for all activity under your account.

3. The Service; Academic Integrity

3.1 Nature of the Service

Wordmuse provides an AI-assisted platform that supports students in preparing college-admissions materials, including brainstorming prompts, structural and stylistic feedback, revision suggestions, and organizational guidance for essays and related materials.

3.2 The Service Guides; It Does Not Draft or Ghostwrite

The Service is designed to help you develop and improve your ownwriting. It is not designed, and must not be used, to generate a complete essay, personal statement, or other submission-ready work product for you to submit as your own. You are solely responsible for ensuring that any work you submit to any school, program, or institution reflects your own authorship and complies with that institution’s academic-integrity, honor-code, and admissions policies.

3.3 No Guarantee of Outcomes

Wordmuse makes no representation or guarantee regarding admission to any school or program, any academic outcome, or the suitability of any feedback for a particular institution’s requirements. Admissions decisions are made solely by the receiving institutions, based on criteria outside our control.

4. AI Disclosure and Limitations

4.1 You Are Interacting With AI

The feedback, suggestions, and content generated through the Service are produced by an artificial-intelligence system, not a human reviewer, counselor, or admissions professional, unless we expressly state otherwise for a specific feature.

4.2 Limitations

AI-generated feedback may be incomplete, inaccurate, or unsuitable for your specific circumstances. Use your own judgment, and where appropriate consult a teacher, counselor, or other qualified person, before relying on any output from the Service.

5. User Content; License; Intellectual Property

5.1 Your Content

“User Content” means any essays, drafts, prompts, conversations, or other materials you submit to the Service. As between you and Wordmuse, you retain ownership of your User Content.

5.2 License to Wordmuse

You grant Wordmuse a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely to provide, maintain, and improve the Service for you, and as otherwise described in the Privacy Policy.

5.3 How We Use — and Do Not Use — Your Content

We use your essays, conversations, and the insights our AI develops about your writing (your “Memories”) solely to provide and improve the coaching experience for you. We do not use your essays, conversations, or Memories to train, fine-tune, or develop any artificial-intelligence or machine-learning model, and our AI technology providers do not use your content to train their models. We do not sell your personal information, and we do not share it for cross-context behavioral advertising. Separately, we may generate aggregated, de-identified insights — statistical patterns across many students that cannot reasonably be linked back to any individual — as described in the Privacy Policy.

5.4 Wordmuse IP

The Service, including its software, design, models, and underlying technology — and the way Wordmuse organizes, scores, and connects Memories and writing archetypes — is owned by Wordmuse or its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to Wordmuse’s trademarks, branding, or proprietary technology. You may request access to a copy of your own User Content as described in the Privacy Policy; that right does not extend to Wordmuse’s proprietary arrangement, scoring, or linking of it.

5.5 Restrictions on Use

Except as expressly permitted by these Terms or by applicable law that cannot be waived, you may not, and may not permit anyone else to:

  • access the Service through any automated means — including bots, crawlers, scripts, or scrapers — or scrape, harvest, or systematically collect data or content from the Service, except through a standards-compliant search engine or an assistive technology you use for accessibility;
  • reverse engineer, decompile, or disassemble the Service, or otherwise attempt to discover, extract, reveal, or reconstruct its source code, models, prompts, system instructions, writing archetypes, scoring, or other proprietary logic that powers the coaching;
  • use the Service, or its output, to build, train, or improve any competing product or any artificial-intelligence or machine-learning model, or to create a substitute for the Service;
  • resell, sublicense, rent, or otherwise commercially exploit the Service or its output, or make the Service available to third parties — the Service is for your own personal use in developing your own writing; or
  • remove, obscure, or circumvent any security, rate-limiting, authentication, or access-control measure.

The models, prompts, system instructions, and the way Wordmuse organizes, scores, and connects Memories and writing archetypes are Wordmuse’s confidential and proprietary property. Nothing in these Terms transfers any right in them to you, and a breach of this Section may cause irreparable harm for which Wordmuse may seek injunctive relief in addition to any other remedy.

6. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which prohibits (among other things) using the Service to generate content that sexualizes, endangers, or facilitates harm to minors; to harass or bully another person; to attempt to bypass age or content safeguards; to scrape, reverse-engineer, or misappropriate the Service or its underlying technology; or to submit AI-generated content as your own original work in violation of Section 3.2. A violation of the Acceptable Use Policy is a violation of these Terms and may result in suspension or termination of your account.

7. Third-Party Services

The Service uses third-party providers, including an AI model provider, hosting and database infrastructure, authentication, and payment processing, to deliver its functionality. Your use of the Service may involve transmitting your input to these providers under the data-processing terms described in our Privacy Policy. We remain responsible for our own use of these providers consistent with applicable law.

8. Fees and Payment

8.1 Plans and Pricing

The Service is offered on paid plans, currently including a Monthly plan billed each month and multi-month plans paid as a one-time charge for a fixed period of access. Current prices and plan options are shown on our pricing page and at checkout, in U.S. dollars. We may change our prices from time to time; any change is prospective only and will not affect a plan term you have already paid for, and we will give notice as required by law before a change takes effect.

8.2 Auto-Renewal (Monthly Plan)

The Monthly plan automatically renews each month at the then-current monthly price until you cancel. By subscribing to the Monthly plan, you authorize Wordmuse (through our payment processor) to charge your payment method on a recurring monthly basis. We will disclose the renewal terms clearly before you subscribe and send renewal or price-change reminders where required by law.

8.3 One-Time Plans

The 3-Month and 6-Month plans are one-time prepaid purchases for the stated access period and do not automatically renew. When the period ends, your paid access ends unless you purchase another plan.

8.4 Cancellation

You may cancel the Monthly plan at any time through your account settings. We provide an online cancellation method that is at least as easy to use as the method you used to subscribe. Cancellation stops future renewals and takes effect at the end of your current billing period; you retain access until then.

8.5 Refunds

Except where required by law or expressly stated otherwise, fees are non-refundable, and canceling does not entitle you to a refund of amounts already charged for the current period or for a one-time plan. Nothing in this Section limits any statutory cancellation or refund right you have under applicable law.

8.6 Financial Aid

Wordmuse offers a financial-aid path. Eligible users may receive reduced-cost or no-cost access at Wordmuse’s discretion, as described on our pricing page.

8.7 Taxes

Stated prices may not include applicable taxes. You are responsible for any sales, use, or similar taxes associated with your purchase, except for taxes based on Wordmuse’s income.

8.8 Payment Processor

Payments are processed by our third-party payment processor, and your payment is also subject to that processor’s terms. We do not store your full payment-card number.

9. Term; Suspension; Termination

9.1 You may stop using the Service and close your account at any time.

9.2 We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Certain violations — including any content that sexualizes or endangers a minor — result in immediate termination and, where legally required, a report to the appropriate authorities.

9.3 On termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5, 8, 10, 11, 12, 13, and 14) survive termination.

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Wordmuse disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free, or that AI-generated output will be accurate or suitable for any particular admissions process. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of Liability

To the fullest extent permitted by law, Wordmuse will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or data, arising from or relating to your use of the Service. Wordmuse’s total liability for any claim relating to the Service will not exceed the greater of (a) $100 or (b) the amount you paid Wordmuse in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

12. Indemnification

To the extent permitted by law, you — or, for a minor user, the parent or legal guardian who accepted these Terms — agree to indemnify and hold Wordmuse harmless from claims arising out of your violation of these Terms or your misuse of the Service, excluding claims arising from Wordmuse’s own breach or negligence.

13. Dispute Resolution; Binding Arbitration; Class-Action Waiver

Please read this Section carefully — it affects your legal rights.

13.1 Informal Resolution First

Before starting an arbitration or lawsuit, you agree to first contact us at contact@wordmuse.ai and try to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

Except for the carve-outs in Section 13.4, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single neutral arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

13.3 Class-Action Waiver

You and Wordmuse agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding.

13.4 Carve-Outs

This Section does not apply to: (a) an individual claim brought in small-claims court; (b) a claim for injunctive or other equitable relief to protect intellectual property or the security or integrity of the Service; and (c) any claim or dispute that applicable law does not permit to be arbitrated or subjected to a class-action waiver. In particular, arbitration agreements and class-action waivers may be unenforceable against minors; where that is the case, this Section binds the parent or legal guardian who accepted these Terms to the extent permitted by law.

13.5 30-Day Right to Opt Out

You may opt out of this arbitration agreement and class-action waiver by sending written notice to contact@wordmuse.ai within 30 days of first accepting these Terms, stating your name and a clear statement that you wish to opt out. Opting out will not affect any other part of these Terms.

13.6 Severability

If the class-action waiver in Section 13.3 is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court; the remainder of this Section still applies.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except to the extent that mandatory consumer-protection law of your state of residence applies and cannot be waived. For any claim not subject to arbitration, the state and federal courts located in Wyoming will have jurisdiction, except that you may bring a qualifying individual claim in your local small-claims court.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide notice and require you (or, for a minor user, your guardian) to accept the updated Terms before continuing to use the Service. Continued use after a non-material update constitutes acceptance.

16. Miscellaneous

16.1 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be reformed to the minimum extent necessary.

16.2 Entire Agreement. These Terms, together with the Privacy Policy and the Acceptable Use Policy, are the entire agreement between you and Wordmuse regarding the Service.

16.3 Assignment. You may not assign these Terms. Wordmuse may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

16.5 Notices. We may provide notice to you through the Service or the email associated with your account.
